LEGAL NOTICE.
STATE OF IOWA, JEFFERSON COUNTY.
In Circuit Court, 1st Circuit, 6th Judicial District.

To Martha L. SMITH, Finis SMITH, Sarah E. CARPENTER, Charles W. CARPENTER, Martha A. MINOR and John MINOR,

            You are hereby notified that there is now on file in the office of the Clerk of the Circuit Court of Jefferson county, Iowa, a petition of Hiram RISTINE claiming of you the sum of two hundred dollars with 10 per cent. interest thereon from the 25th day of December 1868, as money due on a note executed by said Martha L. SMITH and Finis SMITH, and asking for an order to sell lot No. one [1] of block No. twenty-four [24] of new plat of city of Fairfield, Ia., mortgaged by them to said Plaintiff to secure the payment of said note.  And that unless you appear and answer thereto on or before noon of the 2d day of the next term of said Circuit Court, to be begun and held on the second Monday of February, 1869, a default will be taken against you and judgment rendered as prayed for.

Sunny Side Item.--The Wooster Congregational Church, in this county, are in receipt of a neat and substantial Communion sett [sic] --- a gift from the Congregational Church of "Woodbury," Connecticut, sent by Mr. LINDSLEY to Mr. H. B. SWIFT, their preacher. The friends in Woodbury will be please to learn that good use has already been made of their sett [sic]. The Church is now enjoying a season of great interest, and some of the young converts will receive Christian Baptism and partake of their first Communion out of the vessels thus provided. Accompanying this gift was a very handsome Pulpit Bible intended for the use of the Church at Rome, over which, as at Wooster, Mr. SWIFT has exercised ministerial supervision. May God bless the donors, who will please accept this as an acknowledgment of the receipt of their favor.

 MINUTES OF THE ORGANIZATION,

  Iowa Rail Road Co.

 ORGANIZATION OF THE COMPANY.
  Fairfield, January 26, 1869.

  Pursuant to notice, a meeting of the citizens of Jefferson and Washington counties met at the Court House in Fairfield to organize the Iowa Rail Road Company. On motion, Ed. CAMPBELL, Jr., was elected President, and J. J. CUMMINGS, Secretary.
  The President stated the object of the meeting to be to devise means by which a Rail Road from Washington via Fairfield, &c., to Cameron, Missouri, may be constructed.
  Judge NEGUS gave the meeting a very satisfactory statement of facts in his possession.
  Mr. D. MENDENHALL moved to proceed to organize a Rail Road Company to build said road. Carried.
  During the pendency of said motion the meeting was addressed by C. W. SLAGLE, D. MENDENHALL, Mr. CAMPBELL, C. NEGUS, D. P. STUBBS, Mr. MOORE and Ward LAMSON. Articles of incorporation, prepared by the committee, where then presented by Mr. NEGUS, which upon being read and considered were, on motion, adopted and signed by a large number of our citizens.
  On motion of C. DAVID, a committee of four was appointed to report names for a Board of Directors. C. W. SLAGLE, C. DAVID, Ward LAMSON and Anson MOORE were appointed said committee.
  The committee reported the following names: Charles NEGUS, Wm. H. JORDAN, Anson MOORE, Ed. CAMPBELL, Jr., D. MENDENHALL, D. P. STUBBS, Wm. BICKFORD, Robert C. RISK and James JORDAN. Which report was received and adopted, and the said named gentlemen were elected said Board of Directors.
  Mr. NEGUS submitted a form of subscription which, on motion, was recommended to the Board as a proper form to adopt. A subscription was then taken to defray the expenses of organization.
  On motion, the city papers were requested to publish the proceedings of this meeting.
  On motion, the meeting adjourned.

  Immediately on the adjournment of the above meeting the Board of Directors met, organized, and proceeded to elect officers,--- with the following result:

      ARTICLES OF INCORPORATION.
  Article 1.  Articles of Incorporation made and entered into on the 26th day of January, 1869, for the construction of a Rail Road commencing at a practicable point on the Muscatine Branch of the Chicago, Rock Island & Pacific Rail Road in the county of Washington, Iowa, thence by way of Brighton, Fairfield, Iowaville, and Bloomfield, to connect with a Road to Cameron, Missouri, and the North Missouri Rail Road. We, the undersigned, hereby associate ourselves for the construction of the above named road, in common with all others who may be come interested, in accordance with these articles formed and adopted under and in pursuance of the laws of Iowa.
  Art. 2. The name of this Company shall be: "The Iowa Rail Road Company."
  Art. 3.  This Incorporation shall commence on the date of these articles, and shall continue for fifty years. It shall have perpetual succession, may sue and be sued by its corporate name, shall have a common seal, and may alter the same at its pleasure. The interests of the Stock-holders shall be transferable as prescribed by the by-laws. Their private property shall be exempt from corporate debts as far as is permitted by law. The corporation may make contracts, acquire and transfer property, establish by-laws, and make all rules and regulations deemed expedient, in accordance with the law and with these articles; and, in general, may do all acts which are necessary and proper to carry into full effect the object of this Incorporation.
  Art. 4. The affairs of this Incorporation shall be managed by nine Directors. The undersigned Incorporators shall elect the first board of directors who shall hold their office for one year, or until fifty thousand dollars of stock is taken, when they shall call a meeting of the Stockholders at Fairfield for the election of new Directors, and elections shall be held annually thereafter, for the election of their successors, giving at least three weeks notice of such election.
  Art. 5. The Directors shall continue in office until their successors are elected and qualified. They shall appoint from their number a President and Vice President. They shall also elect a Treasurer and Secretary. Any vacancy occurring in said Board or its officers may be supplied by the Board.
  Art. 6. All the proceedings of the Directors, in order to bind the Company, must be recorded in a book to be kept by them, which shall be at all times open to the inspection of any Stockholder, and all contracts shall be in writing, under the seal of the Company, and a copy thereof filed in the office of said Company.
  Art. 7. The capital stock of the Company shall be two millions of dollars, divided into shares of one hundred dollars each. The liabilities of the Company shall not at any time exceed one million of dollars.
  Art. 8. In all elections each Stock holder may vote in person or by proxy, and shall be entitled to one vote for each share of stock owned by him.
  Art. 9. The principal place of business of the Company shall be Fairfield, Iowa ; but the Directors shall have the power to transfer such place of business to any more convenient point, by giving the notice thereof which is required by law.
  Art. 10. The object of this Incorporation is to construct and use a Rail Road extending from a practicable point on the Muscatine Branch of the Chicago, Rock Island & Pacific Rail Road in the county of Washington, Iowa, thence by way of Brighton, Fairfield, Iowaville and Bloomfield, to connect with a Rail Road to Cameron, Missouri, and the North Missouri Rail Road.
  Art. 11. The board of Directors may cause books to be opened for the subscription of stock, at such times and places as they may deem advisable.
  Art. 12. They are also authorized to make any arrangement which is suitable and proper with the State of Iowa, or any county, city, town or township, or with any company or individual for the purpose of securing any benefit or aid which may be given by parties aforenamed for the construction of the Railroad herein contemplated.
  Art. 13. Special meetings of the Stockholders and all meetings of the Directors themselves, may be called in such manner as shall be prescribed in the By-laws.
  Art. 14. The Board may require of the Treasurer, as well as of any other officer of the Company, such security for the faithful discharge of their respective duties, as they may deem expedient.
  Art. 15. The Board of Directors may order installments to be paid on the stock subscribed, at such times and places, and in such sums as they may direct, not exceeding five per cent. per month, and if such installments, when called for as the By-Laws may direct, are not promptly paid, the amount due may be collected by suit against the delinquent Stockholder; or the stock of such delinquent may be forfeited by order of the Board to the Company, together with all payments made upon the same; the delinquent having been served with a written notice to that effect, ten days before his stock shall be declared forfeited; or the stock of such delinquent Stockholder may, by order of the Board of Directors, be sold at auction, by giving such notice of the sale as the By-Laws may prescribe; and if said stock does not sell for a sufficient sum to pay the full amount of unpaid assessments, the Board of Directors may sue and collect the balance.
  Art. 16. The Directors may receive subscriptions to the stock of the Company from any Counties within this State, or from any other municipal Incorporation, upon such terms and conditions as may be agreed upon by them --- such Counties or municipal Incorporations being entitled to all the rights and privileges of individual Stockholders. The Board of Directors may also authorize subscriptions to be made to the stock of said Company, payable in real estate, or other property, upon such terms and conditions as they may direct.
  Art. 17. These Articles of Association may at any time be changed by the unanimous consent of the whole Board of Directors, or they may be changed by the vote of the Stockholders, at any general or special meeting, provided that not less than four weeks’ notice of such change, specifying its exact character, be given immediately prior to such meeting, in the newspapers printed in Fairfield, and in such other manner as the Directors may prescribe.
