Minutes of the Annual Meeting of the Friends of IAGenWeb
January 22, 2013 – February 10, 2013

Call to Order

The Chair, Steve Williams, called the meeting to order on January 22, 2013 on the IAGW-CM list.

The following directors were present: Steve Williams, Rich Lowe, Ralph Leonard, Cheryl Siebrass, Conni McDaniel Hall, Constance Diamond, Karen De-Groote-Johnson, Mark Christian, Greta Thompson, Barbara Hug, Sharyl Farrell, Linda Ziemann, Gail Kilgore, and Richard Harrison.

Announcements

The Chair made the following announcements.

Welcome to the annual board meeting of Friends of IAGenWeb!  We continue
to be in great shape financially, ready to fund non-profit IAGenWeb far
out into the foreseeable future.  I want to give a huge thank you to Rich
Lowe for hosting Google Adsense on the Iowa WPA and Gravestone Photo
Projects for Friends of IAGenWeb.  This effort completely cleared our debt
and has contributed to our coffers greatly.  Rich had decided to remove
Google Adsense from the sites a bit ago.  We are left very healthy because
of this influx of funds and we continue to grow funds through generous
contributions.  Thanks again Rich.  Watch for the Treasurer's Report to
show just how healthy we are!

This meeting will be absent of Don Kelly, a former member of the board of
directors.  Don passed away in August 2012.  I wish to acknowledge his
generous service to both Friends of IAGenWeb and IAGenWeb.
Loren Toomsen was instrumental in establishing and funding Friends of
IAGenWeb.  We wouldn't be at this point without him.  He has not been a
part of meetings in many years and we will miss his presence as a board
member.  He's moved forward into the next chapter of his life!  I hope to
follow in his footsteps one of these days!

Secretary's Report

Mark Christian presented the Secretary's report.

The 2012 annual meeting was held January 30, 2012 through February 5,
2012 during which the proceedings of the Board of Directors and all
actions taken by the Board of Directors and by the officers of the
organization since the last annual meeting were ratified. Minutes of

Board of director meetings were held April 16, 2012 through April 20,
2012 and July 30, 2012 through August 7, 2012.  The following items were
enacted by motion.

1. Funding approval of the renewal of the domain names
iowagravestones.org and iowagravestones.com for a period of five years
each at a total cost not to exceed $200 dollars.
2. Confirmation of the appointments of Rich Lowe as Treasurer for the
position's three year term starting July 1st, 2012 through June 30th of
2015, Mark Christian as Secretary from July 1st, 2012 to June 30th of
2013 and Cheryl Siebrass as Director-at-Large from July 1st, 2012 to
June 30th of 2013.
3. Funding approval of hosting the IAGenWeb.org server at $59.95 per
month through June of 2013.

The Chair called for comments then declared the Secretary's report accepted as submitted.

Treasurer's Report

Rich Lowe presented the Tresurer's report.

Balance Sheet at 12/31/12:

US Bank Checking:  $10,208.15

PayPal Balance:        $2,315.60

Our Liability account carries a zero balance.

Income for calendar year 2012 was up $519.85 from 2011.
Membership/Donations and Memorials were down $198 while Google AdSense
income was up $719.16 from the previous year.

Operating Expenses were up just $98 from the previous year.

There were no funding requests from IAGenWeb other than our ongoing server
expense of $57 per month and domain name renewals totaling $150. I
encourage IAGenWeb leadership to develop an annual forecast of income and
expenditures and to submit funding requests for special needs that involve
large expenditures so that money can be set aside in a budget.

Having accomplished the goal of retiring the debt owed to Loren Thomson and
helping Friends build a bankroll of more than $12,500, AdSense Advertising
was removed from both Iowa Gravestones and the WPA Special Project sites as
of October 1, 2012.

President Steve Williams has expressed a preference that specifics on my
decision, as Special Projects Coordinator, to discontinue AdSense ads on
GPP and WPA, be addressed off list and I will be glad to do so for any who
are interested.
