richlowe: Just got here. Hi Barb.
barb: Loren is trying to get in.
barb: Isaiah, hello
barb: Rich, I love the caffine free diet coke
barb: Thanks for buying it and having it left over.
IsaiahH: Hello, all

richlowe: Good!
Loren: Howdy
barb: Good evening, Loren
Loren: Good to see everyone
richlowe: Good to "see" you too. Kinda.
barb: Yes, it is.
Loren: Rich Lowe, long time no talk too. Good to see you, man!

barb: Hope others join us.
barb: Mark has clients that he has to take out to dinner
Loren: Barb, these meetings are very important -- do hold more of them if you would
barb: No problem, Loren.
barb: Greta, Hi.
Greta: Hi/
barb: We'll work directly from the agenda so we don't have to rewrite a lot of things.
Greta: Hi
barb: If you don't have it, I think I put it on the Friedns Web page
Greta: BTW, it says there are 0 users in chat now.
barb: Refresh.
richlowe: says 4 for me after refresh.
barb: Has Isaiah dropped off?
Greta: Me too. I thought I had refreshed, probably some other open page.

barb: Loren is gone now.
richlowe: Just gave me a critical error message. I refreshed and was back.
IsaiahH: I made it back.
Greta: Anyone else get a php error and know what it meant?
barb: Good idea to try the refresh.
System Msg: Loren joined chat on Mon Aug 21, 2006 7:10 pm
Loren: I'm back
barb: I think we all did.
Greta: Know what it meant?
barb: Ok, let's get started as it is ten minutes after 8:00
Loren: I did too
barb: Are there any questions about the last meeting minutes?
Loren: none here
Greta: no
richlowe: no
barb: We'll obviously wait, but next we need a motion to appoint Rich Lowe as Secretaary. Harvey had declined the Director at large
Loren: I move Rich Lowe be appointed Secretary
System Msg: Sharyl has joined chat on 21 Aug 2006 04:12 pm
Greta: second
Sharyl: hi, sorry I'm lae
barb: All in favor say, Aye>
richlowe: I'd rather have Harvey's job.
barb: Welcome, Sharyl
Loren: Aye
Greta: Aye
Sharyl: I'll read the text - don't wait on me
Greta: Sorry, Rich, no druthers allowed.
IsaiahH: Aye
barb: Motion carried. Rich, you can vote from here on out.
barb: Do you have suggestions for Director at Large?
Sharyl: I'll vote aye to Rich
Sharyl: why not ask for a volunteer?
richlowe: Thanks all.
barb: I can do that, but thought we might want someone we pick
Sharyl: How about Pete
Greta: Think he would?
barb: We can always ask.
IsaiahH: I think opening it up by asking for volunteers on IAGen would be good.
barb: If he doesn't, I'll ask for volunteers
richlowe: Pete?
Greta: The advantage of volunteers is they are interested, for sure.
barb: OR do you want me to just ask for volunteers?
Greta: Seaba. Johnson Co
IsaiahH: And it avoids accusations of an in-group.
Greta: Either way is okay with me.
barb: Shall we move on to bylaw revisions?
Sharyl: I also think we need to take a look at the current directors who are no longer participating too. Our by-laws speak to missing meetings, etc.
barb: I have had the wrong address for Gail.
Greta: Has it changed again?
barb: No, I just had an old one
barb: First is where to maintain the office.
barb: Loren, what do you think about this?
Loren: Would you want me to approach Maureen Jacobsen?
Loren: I think it is a great idea
barb: Yes, I tried, but her email bounced back to me.
Loren: That way if whom ever is it is run over by an ugly truck things wont' get bogged down
Loren: She has moved -- I will update you after the meeting
Loren: Actually, she's gotten larger, added more people, etc.
barb: How about we table this until Loren talks to Maureen.
Loren: And, she has a new email addresws
Loren: If this is okay with everyone -- I'll just go ahead as ask Maureen if we can arrange this, okay?
Greta: Okay with me
IsaiahH: Sounds good to me
barb: Then let me know and we'll vote on this next time.
Sharyl: ok here
Loren: Okay, I'll do it. I really thing that is a very good move.
barb: Next is a possible rewording of the section on membership.
barb: The only comment I got on this was from Mark who wants us to take out the last three words, "with voting privileges."
barb: The purpose of the Annual meeting is not clearly defined in our bylaws, so there wouldn't have to be anything to "vote" on.
Greta: in new section 2 the verb should be is, not are, to agree with member
barb: that's easy to fix.
Greta: The big issue is whether everyone has to contribute to be a member and how that will float
barb: Absolutely.
IsaiahH: As the purpoe of Friends is to raise money, perhaps a contribution--even a token one--is appropriate
Sharyl: you mean contribute $$ Greta?
Greta: Yes. As I read Barb's revision, everyone will have to
Greta: Do you have a copy of the proposed changes, Sharyl?
barb: No, the current bylaws says you have to pay $$ to be a member
barb: The revisions says that CCs and other volunteers are automatically members.
barb: It's been my impression that we want as many CCs to support us as possible.
Sharyl: I'm with Isaiah. If I'm a 'friend' of the local library it means I'm a financial contributor. The current by-laws also say you need to pay dues
richlowe: and/or has a desire to promote the IAGenWeb
Sharyl: I can see both sides, but we need to keep looking at Friends as different than the all volunteer IAGenWeb
barb: Then Rich needs to pay dues before he can be Secretary.
barb: As will the Director-At-Large
richlowe: Yikes!
Sharyl: get the wallet out Rich!! LOL
richlowe: I'll pay the amount currently stated.
Greta: Let's remember not to ask Rich to be treasurer at any future date. Smile
Sharyl: we haven't set any dues amount have we?
richlowe: That was my point.
barb: That was my point, too.
barb: If wa truly want individual members, we need to develop this NOW.
Greta: So what do we need to do at this point?
Sharyl: Yes we do
IsaiahH: But if dues are required, what if the SC declines to pay them
IsaiahH: or the ASC
barb: The officers are members of the Board.
barb: it doesn't say they have to pay dues.
Sharyl: What do you all think about a 'grandfather' clause. All current members as of (date) are members. Future members will pay X-amount of dues
IsaiahH: Don't like that
barb: Well who are the members?
barb: That's the question.
barb: We don't have any members.
Greta: It seems to me that the first line for members should be the active volunteers, then the researching public.
Sharyl: I guess I hadn't looked at it that way Barb. You are right
Greta: hey all have a demonstrated interest in IAGenWeb
Greta: But members of any organization usually pay dues.
Greta: And we need money to keep IAGenWeb going.
Sharyl: Yes they do. We don't have to make it a large amount
Greta: Right.
barb: It appears to me as if you want to keep the dues structure. We need a committe to work on this an present at the next monthly meeting.
richlowe: I'm for dues. I just haven't paid them since 2004!
Sharyl: I haven't paid anything for quite some time either
barb: Any volunteers to working on this.
Greta: Anyone here opposed to dues?
Loren: I am very FOR dues
IsaiahH: no
barb: Volunteers?
Sharyl: Me too -- for dues
Greta: 'Cause we could make a motion to require dues and then refer it to a committee to set the dues for the coming year
richlowe: I think if we get some levels out there and attach amounts to each level, we'll do ok. Just need a low level for some.
barb: We alreay require dues.
IsaiahH: I like that approach, Greta
Sharyl: I'd volunteer but my plate is too full. Getting ready to go to Iowa.
barb: Need volunteers for a committee.
richlowe: And I'm going to Alaska!
IsaiahH: I just can't volunteer at this time
Greta: The charge to the committee being?
barb: To develop the membership due structure.
richlowe: Assigning dollars to the existing levels?
IsaiahH: To determine an appropriate dues structure for FoIAGenWeb
barb: Then if they can to tell us how to go abou it.
Greta: The fact that we already require dues has to be reinforced because in practice we never havve. Maybe what we need to do is reaffirm the Bylaws at this point. Yes, Isaiah, then determine an appropriate dues structure.
barb: Then reaffirm.
Greta: To go about what? Collecting the dues?
barb: You just said, what we need to do is to reaffirm the Bylaws.
IsaiahH: Perhaps we could name the levels after relatives--like GREAT Grandfather for the highest
IsaiahH: and Shirttail Relation for the lowest
Greta: LOL
barb: We already have the names spelled out in the bylaws.
Sharyl: Isaiah, I was thinking the same thing!
Sharyl: Great idea!
barb: But they could always be renamed Smile
Sharyl: Can't we change that?
Loren: Yes,
barb: I'm distressed that people haven't read the backgound that I sent. New Section 2 essentially does that
Loren: I think that is a great idea
barb: Also new section 3 does what you are wanting to do.
richlowe: Yes, old section two states the levels. We're changing those?
richlowe: Or just assigning values?
barb: The only bylaw that doesn't need to be changed is Section 1.
Greta: Barb, I don't think we haven't read what you wrote, but we haven't had an opportunity before to talk about this. We need a chance to talk and think before we commit to something.
barb: No problem with that.
Greta: For example, the question in the back of my mind is how many of the designated members in Article I will suddenly be ready to pay dues.
Sharyl: I read them, but had a hard time following the train of thought
Greta: I'm for dues, but I'm sure not for pushing them in a way that alienates some of the CCs and starts a brouhaha.
Greta: I guess that's what was behind my original thinking of suspending required dues, but actively encouraging contributions.
Sharyl: Friends is not IAGenWeb -- a project member may not necessarily be willing or able to be a member of Friends. We need to separate the two
Greta: Maybe it's time though to check with the members and see if they;'re willing to become paying members. Right, Sharyl.
Sharyl: We have always encouraged contributeions
barb: When?
Greta: Yes, but we could encourage it more forcefully. L)
Greta: Smile
Greta: Just on the Friends' page, as far as I know.
Loren: There are six of us in the conversation -- would you like to convert this into a confernece call?
Loren: Or doyou wnat a record
IsaiahH: I think it's important to have a record
Sharyl: This is ok Loren, for me anyway
richlowe: This is an awkward method but I'm trying to follow. And we need a record.
barb: I think we want a record AND I think we need to put this on hold, talk about in e-mail and work something out that way.
IsaiahH: Confeerrence calls with this many people are confusing for me
Greta: Agree, Rich.
Loren: Okay, that;'s good with me
Greta: How about the SC flying us all in for a dinner meeting?
Loren: I'll drink to that! :O)
barb: NAme the time Smile
Greta: It's been awhile since anyone has used IAGenWeb's jet.
Sharyl: LOL
IsaiahH: but the constant refreshing of the screen in this room is irritating
barb: Rich knows how good Hy-Vee food is Sad)
barb: I mean Smile
Greta: Isaiah, I think we can ask Steve to adjust that.
barb: Can we move on and talk about this on e=mail?
richlowe: Maybe we should all use messenger or one of those IM deals. They work slicker.
Sharyl: They really do, good idea Rich
barb: Tell us how?
Sharyl: Although I had to uninstall Yahoo Messenger because it was screwing up my computer
Greta: Barb, we set you up with a Yahoo IM, remember? Sharyl and I have addresses. Anyone else?
IsaiahH: Or even a maillist for the meeting. It gives people the opportunity to think before posting
barb: Mine too.
Greta: Oh. Sharyl and I don't have addresses. LOL
Sharyl: Taking it over
IsaiahH: I don't do IM, but I could
Sharyl: We have the IAGen-Exec list
Greta: Yeah. I like that. IAGen-Exec
richlowe: I use Messenger normally but have used Yahoos in the past and could again for this meeting.
barb: I'll set it up.
Greta: But if we have to think before posting, Isaiah, you're really raising the bar. Smile
Sharyl: exec would work really good
IsaiahH: I'll go with Exec
barb: The next item on the agenda is looking at the way expences are authorized.
IsaiahH: Your not required to think, but the possibility is there
IsaiahH: Oops thats "you're"
Greta: Good answer!!
Sharyl: using a mailing list works best due to the time-zones too
Greta: Ms Picky Picky wasn't invited to this meeting.
richlowe: Exec sounds fine to me.
IsaiahH: Good!
barb: The committe suggests that we "need procedures for authorizing incidental expenses".
barb: We can either change the bylaws or we can use the motion written by Greta to ask Mark to draft procedures and then see if we need to amend the bylaws
Greta: The problem is that we don't have any money to disburse.
System Msg: Loren joined chat on Mon Aug 21, 2006 8:04 pm
Loren: We actually do, Greta
richlowe: We've been disbursing anyway, haven't we?
barb: I guess you wrote this in anticipation of....
Loren: I see I need to present a Treasurers report before each of these meetings -- acutally the books are online
richlowe: We're just in hoc.
Greta: Well, Loren has been serving as our bank.
Greta: We may have a couple of hundred, I didn't look tonight.
richlowe: But it's still real money and being spent.
Loren: You can review th account way back to the beginning in the Friends accounting
Greta: What, Rich?
Loren: Just a sec -- I'll give you a report
Loren: BRB
Greta: I really don't want to keep adding to the debt we owe Loren. It's 8000-9000 already.
Greta: And we don't have a corporate sponsor yet.
Loren: We currently have $865.15 liquid cash
Greta: From what, Loren?
barb: Greta, why did the committe think this was an important issue?
Loren: FYI -- I have taken the next two weeks off -- I should be in Washington DC right now -- but staying home to catch up on things, such as corporate sponsors
Greta: I'm sorry, Barb, what, the incidental expenses? They were the expenses associated with getting a corporate sponsor, I think.
Greta: Regarding the 865, Loren, isn't Mark's contribution earmarked?
Loren: I don't think so -- but I wouldn't spend it anyway without committe approval -- so yes in that sense
Loren: test
Loren: We are planning on hiring Kevin Dearing for some script adjustments
Greta: I thought his contribution was for domain renewals, plus a bit.
