Sharyl: I also think we need to take a look at the current directors who are no longer participating too. Our by-laws speak to missing meetings, etc.

barb: Next is a possible rewording of the section on membership.

barb: The only comment I got on this was from Mark who wants us to take out the last three words, "with voting privileges."

barb: The purpose of the Annual meeting is not clearly defined in our bylaws, so there wouldn't have to be anything to "vote" on.

Greta: in new section 2 the verb should be is, not are, to agree with member

barb: that's easy to fix.

Greta: The big issue is whether everyone has to contribute to be a member and how that will float

barb: Absolutely.

IsaiahH: As the purpoe of Friends is to raise money, perhaps a contribution--even a token one--is appropriate

Greta: Yes. As I read Barb's revision, everyone will have to

barb: No, the current bylaws says you have to pay $$ to be a member

barb: The revisions says that CCs and other volunteers are automatically members.

barb: It's been my impression that we want as many CCs to support us as possible.

Sharyl: I'm with Isaiah. If I'm a 'friend' of the local library it means I'm a financial contributor. The current by-laws also say you need to pay dues

richlowe: and/or has a desire to promote the IAGenWeb

Sharyl: I can see both sides, but we need to keep looking at Friends as different than the all volunteer IAGenWeb

barb: Then Rich needs to pay dues before he can be Secretary.

barb: As will the Director-At-Large

Greta: It seems to me that the first line for members should be the active volunteers, then the researching public.

richlowe: I'm for dues. I just haven't paid them since 2004!

richlowe: I think if we get some levels out there and attach amounts to each level, we'll do ok. Just need a low level for some.

Sharyl: I'd volunteer but my plate is too full. Getting ready to go to Iowa.

barb: I'm distressed that people haven't read the backgound that I sent. New Section 2 essentially does that

barb: Also new section 3 does what you are wanting to do.

richlowe: Yes, old section two states the levels. We're changing those?

barb: The only bylaw that doesn't need to be changed is Section 1.

Greta: Barb, I don't think we haven't read what you wrote, but we haven't had an opportunity before to talk about this. We need a chance to talk and think before we commit to something.

barb: No problem with that.

Greta: For example, the question in the back of my mind is how many of the designated members in Article I will suddenly be ready to pay dues.

Sharyl: I read them, but had a hard time following the train of thought

Greta: I'm for dues, but I'm sure not for pushing them in a way that alienates some of the CCs and starts a brouhaha.

Greta: I guess that's what was behind my original thinking of suspending required dues, but actively encouraging contributions.

Sharyl: Friends is not IAGenWeb -- a project member may not necessarily be willing or able to be a member of Friends. We need to separate the two

Greta: Maybe it's time though to check with the members and see if they;'re willing to become paying members. Right, Sharyl.

Greta: Regarding the 865, Loren, isn't Mark's contribution earmarked?

Loren: I don't think so -- but I wouldn't spend it anyway without committe approval -- so yes in that sense
