LARRY D. HUNTER

Larry D. HUNTER was the son of Doyle and Dorothy (GRAY) HUNTER of Mount Ayr. He was born in Leon, their third child. Larry was the salutatorian of his 1968 class at Mount Ayr High School. He attended the University of Michigan and earned dual degrees in 1975: a masters degree in economics and a law degree.

In 1971, Larry married the girl he had met at a church play and who was his high school sweetheart, Rita BARKER. They were the parents of two children, Nathan and Allison.

After receiving his degrees, the HUNTERS moved to Richmond, Virginia, where Larry accepted a position with the law firm McGUIRE, WOOD and BATTLE. Two years later, the HUNTERS left Richmond when Larry accepted a position as a staff attorney with Clark Equipment Company, the world's largest manufacturer of lift trucks. The company also manufactures logging equipment, construction machinery, and Bobcat End Loaders. In this capacity, Larry has traveled the globe.

In 1980, Larry was promoted to group council for the material-handling group. He was also the head international attorney at the time of this promotion.

In the late 1980's Larry accepted with the Detroit-based firm of Honanman, Miller, Cohn and Sewartz. Rita returned to college and took up anthropolgy. She later served on the Crow Canyon Archeological Institute Board in Durango, Colorado.

In the latter part of 1992, Rita collapsed at their home while Larry was on a business trip in California. Rita was diagnosed with a severe heart infection which required emergency to repair one of the valves in her heart. Although she was given only a 10% chance of survival, Rita beat the odds and returned home after six weeks of hospitalization.

This crisis gave the HUNTERS an opportunity to assess their lives. Larry, Rita and son Nathan moved to California and Larry became working for Hughes Electronics Crop in August of 1993 as an assistant general counsel. Mike ARMSTRONG, CEO of the Hughes Company, was also involved with a new company, DirecTV. In 1995, Larry accepted a position as general council of DirecTV International. He was promoted as executive vice-president, legal and human resourses, and general council in early 2004. Larry also serves as the secretary with the board of directors.

Larry and Rita reside in Redondo Beach and maintain a summer home in Mount Ayr.

BACKGROUND
Larry D. HUNTER has been an Executive Vice President of Legal, Human Resources & Administration of DIRECTV Group Inc. since 2007 and serves as its Secretary. Mr. Hunter serves as Corporate Vice President of Hughes Electronics. He has been General Counsel of DirecTV Group Inc. (formerly Hughes Electronics Corp.) since December 2002. He serves as an Executive Vice President, General Counsel and Secretary of DIRECTV Holdings LLC and DirecTV Financing Co. Inc. He served as Secretary of DirecTV Group Inc. since January 2004.

Mr. HUNTER was assigned responsibility for overseeing the Human Resources and Corporate Communications departments in 2007, and the Administration department in 2008.

Mr. HUNTER served as Interim Chief Executive Officer of DIRECTV Inc. and its parent, DirecTV Group Inc. since July 1, 2009. He served as an Executive Vice President of DIRECTV Group Inc. since January 2004. He specialized in securities, commercial finance and corporate law, representing a number of public and private companies.

Mr. HUNTER served as an Executive Vice President of Legal & Human Resources of DirecTV Group Inc. since February 3, 2004 and also served as its Executive Vice President of Administration. He served as President of DirecTV Japan Management Inc. from August 1998 to November 2000. He served as Senior Vice President, Business Affairs and General Counsel of DirecTV, Inc., and DirecTV International, Inc. from April 1997 to August 1998.

Mr. HUNTER served as an Assistant General Counsel of DirecTV Group from 1993 to 1997 and also served as its Corporate Senior Vice President since December 2002 and Senior Vice President from June 2001 to January 2004. He joined DirecTV Group in 1993, and assisted in various acquisitions, divestitures, joint ventures and commercial transactions. He was Senior Partner at Honigman Miller Schwartz and Cohn LLP from 1982 to 1993. He served as an Associate General Counsel of DirecTV Group since June 2001 and served as its Corporate Vice President since August 1998. He was responsible for the legal affairs of the global DIRECTV business.

Mr. HUNTER began his career in 1975 as an Associate at McGuire, Woods, Battle & Boothe, a Richmond, Virginia-based law firm, where he served as a Corporate/Banking and Legal Aid Lawyer. In 1977, he joined Clark Equipment Company as a Staff Counsel. At Clark, he served as an International Attorney and assisted in various joint ventures, international financing transactions and commercial transactions. He served as Clark Group Counsel for Material Handling Group, where he was responsible for litigation and other legal affairs for that business segment.

Mr. HUNTER served as an Associate Editor of The Michigan Law Review. He served as Chairman and Chief Executive Officer of DirecTV Japan Management Inc. from August 1998 to March 2001. He serves as a Director of DIRECTV Holdings LLC and DirecTV Financing Co. Inc. He served as a Director of Intelsat Holding Corporation (also known as Panamsat Holding Corporation) since October 2001. He served as a Director of Intelsat Corporation since October 2001. He serves as a Member of the Order of The Coif.

Mr. HUNTER graduated from the University of Michigan Law School, magna cum laude in 1974 and received a Master's degree in Economics from the University of Michigan. He received a Bachelors of Science with high honors in Economics from the University of Iowa in 1971.

On June 3, 2009, the Board of Directors has appointed Larry D. HUNTER as Interim Chief Executive Officer effective July 1, 2009 in addition to his current responsibilities of Executive Vice President of Legal, Human Resources and Administration, General Counsel and Corporate Secretary. On November 18, 2009, The DIRECTV Group, Inc., announced that Larry D. HUNTER will continue to serve as Interim Chief Executive Officer until January 1, 2010.

Mount Ayr native earns top honor

Each year Corporate Board Member magazine honors the top general counsels for corporations across the nation as part of a gala dinner in New York City. This year one of the top four honored was Ringgold county's own Larry HUNTER.

HUNTER is executive vice president and general counsel for DIRECTV, a leading provider of digital television entertainment in the United States and Latin America.

HUNTER grew up in Mount Ayr and is married to former Benton resident Rita BARKER. They now live in Redondo Beach, CA, but have a second home in Mount Ayr. Their daughter, Allison, lives in Denver, CO.

As part of the recognition for the top honor, he was featured in an article in Corporate Board Member magazine as well as presented the award at the awards banquet.

Other general counsels honored at the event at the Grand Hyatt in New York City were Bob WEBER of IBM, Mark OHRINGER of Jones Lange & LaSalle and Karen COTTLEOF Adobe.

HUNTER has been general counsel of DIRECTV or its predecessor, Hughes Electronics Corporation, since December 2002. He served as interim chief executive officerfrom June through December 2009 and also led the company's human resources and administration departments from January 2006 to July 2010. He also served as chairman and CEO of DIRECTV Japan Management, Inc.

In writing about the honor, the magazine calls HUNTER a "corporate renaissance man." It noted that HUNTER has been able to survive multiple ownership changes, shareholders like John Maline and Rupert Murdoch, and a complete corporate makeover.

"Control of DIRECTV has changed multiple times over the last 10 years and navigating through those changes could have been disastrous for a different general counsel," said Frederick GREEN, a partner who heads the transactions practice at Weil, Gotshal and Manges.

"Larry's integrity, sharp mind and sensitivity to the interests of all parties has enabled him to continue as a trusted advisor to the board and a key member of the senior management team throughout these regime changes," GREEN continued.

Michael WHITE, chairman and CEO of DIRECTV, calls HUNTER a go-to guy.

"He is more than our senior lawyer," WHITE said. "He is a terrific business partner who understands the law but also has the pragmatic business sense to know where to negotiate or compromise and the integrity to always do the right thing," WHITE said.

When HUNTER joined Hughes Electronics in 1993, it was focused on defense, automotive, engineering and satellite manufacturing. Today it's solely satellite television.

"We divested businesses and effectively became a start-up," said HUNTER, who led the company through its transition to a $7.46 billion revenue provider of digital television entertainment services.

He spent two years in Japan, successfully extracating the company from a bad situation there and headed DIRECTV Latin America come through bankruptcy and reemergence.

"I had no idea how difficult the practice of law would be," HUNTER said about his early years. "The easy part is the law -- being able to apply it to your clients' circumstances is complex."

In terms of the business there's plenty left to do, he acknowledges.

"We're faced with major challenges in this business," he said. "Everybody from Netflix to Google is trying to destroy our business. I want to continue to do my part to make the company successful."

HUNTER is currently a member of the board of directors of Innova, S.de R.L. de C.V. and Game Show Network LLC and served on the board of directors of PanAmSat from 2002 to 2004. From 1998 through 2001 he was also a member of the board of directors of Nippon Avionics Co. Ltd.

After graduating from Mount Ayr Community high school, he earned a bachelor's degree in economics with high honors from the University of Iowa in 1971. He then graduated magna cum laude from the University of Michigan Law School in 1974. He also has a master's degree in economics from the University of Michigan. He was a Humphrey fellow in law and economics at the University of Michigan from 1974 to 1975.

He began his law career at McGuire, Woods and Battle in 1975, and was an associate with that firm before joining Clark Equipment Company, where he was international counsel. He was a partner at Honigman Miller Schwartz and Cohn for 13 years and an adjunct professor at Wayne State University Law school along the way.

He enjoys getting away on adventurous vacations and likes to immerse himself in things like physics and the evolution of quantum mechanics.

Hunter honored by LA County Bar Association

A well-known Mount Ayr graduate was recently honored by the Los Angeles County Bar Association with its Outstanding Corporate Counsel Award.

Larry HUNTER, a 1968 graduate of Mount Ayr High School, is executive vice president and general counsel of DIRECTV, currently ranked 98th on Fortune Magazine's Top 500 largest companies in the United States.

HUNTER, the son of the late Doyle and Dorothy HUNTER, both long-time Mount Ayr residents, is married to the former Rita BARKER, a 1969 Mount Ayr graduate. They are the parents of two children, Allison HUNTER of Denver, CO and Nathan HUNTER, deceased.

He was also recently announced as an inaugral member of the newly-formed Mount Ayr Community Schools Hall of Fame.

According to the press release from the event, HUNTER "exemplifies excellence, not only within the legal department of DIRECTV, but in the legal profession as a whole."

Featured speaker at the ceremony was Bill O'Reilly, host of Fox News' The O'Reilly Factor.

HUNTER has been general counsel of DIRECTV or its predescessor, Hughes Electronics Corporation, since December 2002. He was interim chief executive officer of DIRECTV from June through December 2009 and also led the company's Human Resources and Administration departments from January 2006 to July 2010.

From 1998 through 2000, HUNTER was chairman and chief executive officer of DIRECTV Japan Management, Inc., which operated DIRECTV satellite-to-home entertainment service in Japan.

Before joining DIRECTV Japan, HUNTER was senior vice president, business affairs and general counsel of DIRECTV, Inc. and DIRECTV International, Inc., and assistant general counsel of Hughes Electronics. He oversaw the legal affairs of the global DIRECTV business.

HUNTER joined the company in 1993 and was previously a partner at Honigman Miller Schwartz & Cohn from 1980 to 1993. He was an adjunct professor at Wayne State University Law School from 1987 to 1989, and was International Counsel for Clark Equipment Company from1977 to 1980. HUNTER began his legal career at McGuire, Woods & Battle in 1975 and was an associate at that firm before joining Clark in 1977.

HUNTER graduated magna cum laude from the University of Michigan Law School in 1974 and also holds a master's degree in economics from the University of Michigan. He was a Humphrey Fellow in Law and Economics at the University of Michigan from 1974 to 1975 and earned a bachelor's degree in economics from the University of Iowa in 1971.

He is a member of the Order of The Coif and was an associate editor of the Michigan Law Review.

HUNTER is based at DIRECTV'S El Segundo, CA, headquarters.
